VAT and, if relevant, customs duties are not eligible to the Bank financing and will be paid by the purchaser. — the purchaser now invites sealed tenders from eligible suppliers for the following contract to be funded from part of the proceeds of the loan: — contract No. [REF], — supply, delivery and commissioning of new trolleybuses, low floor, one section, with a maximum length of 13, 5 metres, for 105 (±5 %) passengers (8 passengers per square metre). The number of seats should be 30 (± 10 %), — supply, delivery and commissioning of new trolleybuses, low floor, 2 sections, with a maximum length of 18,75 m, for 175 (±5 %) passengers (8 passengers per square metre) The number of seats should be 45 (± 10 %) The ratio between trolleybuses with a maximum length of 18, 75 m and trolleybuses with a maximum length of 13, 5 metres to be provided is one trolleybus 18, 75 metres for 3 trolleybuses 13, 5 metres length max (i.e. 75 % of the fleet renewal consists of trolleybuses 13, 5 metres length max and 25 % of trolleybuses 18, 75 metres length max) — a set of mandatory spare parts and consumables, a set of workshop tools and equipment for maintenance and repair of Trolleybuses, — delivery of technical documentation (design, operational and maintenance manuals, diagnostic guides, control and adjustment parameters, circuits, specifications, catalogs). Incoterm Delivery conditions: EXW for goods from within the purchaser country; CIP (border or port) for goods from outside the Purchaser country. The bidders should quote the price for inland transportation to the final destination place, Trolleybus depot 3, Svistuna Street 2-B, m. Kharkiv, Ukraine (вул. Свистуна, 2-Б, м. Харків, Україна — This contract is expected to be implemented from September 2019 to October 2020, but for warranty obligations Delivery period is 56 weeks after receipt of the advance payment. — tenders are invited for one lot, — tendering for contracts that are to be financed with the proceeds of a loan from the Bank is open to firms from any country, — the tender procedure will be carried out in line with the EIB Guide to Procurement (https://www.eib.org/en/infocentre/publications/all/guide-to-procurement.htm), — the contract with the successful tenderer will enter into force after the conclusion of a loan funds transfer agreement between the Ministry of Finances of Ukraine, the Ministry of Infrastructure of Ukraine and the Kharkiv City Council and the Kharkiv Trolleybus depot 3 municipal Company, in terms and conditions satisfactory to the Bank, — the criteria to be used in the tender evaluation by the purchaser are, in decreasing order of importance: — the purchaser will award the contract to the tenderer whose offer has been determined to be the lowest evaluated tender for the goods and services proposed and is substantially responsive to the tender document, provided further that the tenderer is determined to be qualified to perform the contract satisfactorily, — In evaluating each tender, the Purchaser will determine for each tender the evaluated tender price by adjusting the tender price using the following factors and methodology — delivery schedule offered in the tender, — deviations in payment schedule from that specified in the special conditions of contract, — cost of inland transportation and insurance to the final destination at place, — the cost of specific maintenance tools, mandatory spare parts and services, — the availability in the purchaser’s country of spare parts and after-sales services for the equipment offered in the tender, — the cost of spare parts and after sales service facilities, — the cost of projected operating and maintenance costs, — the reliability of the vehicle offered, — the national remedy mechanism is applicable to the tender procedure, — tendering for contracts that are to be financed with the proceeds of a loan from the Bank is open to firms from any country, — to be qualified for the award of a contract, tenderers must satisfy the following minimum criteria: (a) tenderers shall meet the eligibility requirements: no conflicts of interests, not having been declared ineligible by the Bank, not being registered in a country or being representatives of such foreign companies, subject to financial sanctions imposed by the EU, either autonomously or pursuant to the financial sanctions decided by the United Nations Security Council on the basis of article 41 of the UN Charter or subject to trade and/or financial sanctions by any regulation of Ukraine; ( ![]() © the audited balance sheets for the last 3 years must demonstrate the soundness of tenderer financial position, showing long-term profitability; (d) the tenderer must have an average annual turnover as prime supplier over the last 3 years of at least 10 000 000 EUR equivalents; (e) the tenderer must have experience as supplier, in at least 1 (one) contract, with a total value of at least 8 500 000 EUR (eight million five hundred thousand euro) or at least 2 (two) contracts within the last 5 (five) years, with a value of at least 5 000 000 EUR (five million euro), that have been successfully and substantially completed and that are similar to the proposed goods .The similarity shall be based on the physical size, complexity, methods/technology or other characteristics as described in Section VI, Supply Requirements of the Tender; (f) the tenderer shall demonstrate that it has access to, or has available, liquid assets, unencumbered real assets, lines of credit, and other financial means sufficient to meet the production cash flow for the contract estimated as not less than 8 000 000 EUR equivalent; (g) the tenderer must have successful experience in execution of the analogous deliveries of Trolleybuses with similar models in a quantity not less than 100 pieces, in the last 5 years; (h) tenderer shall be capable of the fulfilment of commitments regarding maintenance, the repair and supply of spare parts, described in the tender documents; (i) in the case of a tenderer offering to supply goods under the contract which the tenderer does not manufacture or otherwise produce, the tenderer has been duly authorised by the goods’ manufacturer to supply the goods in the purchaser’s country; (j) the manufacturer or supplier of trolleybuses shall have or obtain within 120 (one hundred and twenty) days after the award of the contract, but not later than 30 (thirty) days before the first delivery, vehicle type approval of Ukraine, certificate of approval of the vehicle for the passenger transportation and other necessary certifications and approvals for trolleybuses and equipment supplied under the current legislation of Ukraine: (k) manufacturer of the proposed Trolleybuses shall have at least 5 years of experience in manufacturing of Trolleybuses of any model; (l) manufacturer of Trolleybuses proposed by the tenderer in its tender must have a certificate of quality management system (ISO 9001 or equivalent). — Joint venture, consortium, or association (JVCA) shall satisfy the following minimum qualification criteria: (a) at least one partner of JVCA shall meet 60 % of all the above referred qualification criteria on average annual turnover and financial resources; ( ![]() © JVCA shall meet in whole criteria for experience, as well as the eligibility and financial situation referred to above, the corresponding data that defines the overall capacity of the JVCA, shall be specified for each partner. Each JVCA partner shall meet the requirements for historical financial performance, eligibility and trials. — tender documents may be obtained from the purchaser’s office at the address below upon payment of a non-refundable fee of 200 EUR (two hundred Euros), including VAT, or equivalent in Ukrainian Hryvnia (UAH) at the National Bank of Ukraine exchange rate the day of transfer. Upon receiving appropriate evidence of payment of the non-refundable fee, the tender documents may be collected from the purchaser’s office at the address given below or the documents will be promptly dispatched by courier or by e-mail to the address, indicated in the written request, but no liability can be accepted for loss or late delivery. In the event of discrepancy between electronic and hard copies of the documents, the hard copy shall prevail. — a register of potential tenderers who have purchased the tender documents may be inspected at the address below, — all tenders must be accompanied by a tender security of 150 000 EUR (one hundred fifty thousand euro) or its equivalent in another freely convertible currency or Ukrainian Hryvnia at the official rate established by the National Bank of Ukraine as of the date of the tender security issue and must be submitted at the address indicated below no later than the time and date of the deadline for tender submission.
